Article 1: Confirmation and Acceptance of the Terms of Service

1.1 The ownership and interpretation rights of MiauMall products involved in the shop's services belongs to the MiauMall company. The scope of validity of the Terms of Service extends to all products and services of the MiauMall company. When users enjoy any single service of MiauMall, they shall be bound by the Terms of Service. Use, registration or any other action taken on the platform is deemed to be consent by the user to the Terms of Service of this single service and to various announcements issued by MiauMall in regards to changes to Terms of Service on the MiauMall platform. The user also agrees to all of the terms of the Registration Agreement. The user confirms that the terms of this Agreement are a contract dealing with the rights and obligations of both parties and will always be valid. If there are other provisions in the law, they shall prevail.

1.2 The user agrees to all the terms of the registration agreement, that is, it is deemed that the user understands that s/he has the corresponding rights and capacity to enjoy the services of MiauMall, place an order for shopping, and can independently assume legal liabilities.

1.3 If you are under the age of 16 years old, you can only use the shop with the participation of your parents or guardians.

1.4 MiauMall reserves the right to refuse service, close a user's account, or cancel an order at its sole discretion to the extent permitted by law.

Article 2: User Information

2.1 When applying to use the shop's services, users must provide accurate personal registration information to MiauMall. The aforementioned personal registration information includes: the user's MiauMall account name, password, and all information entered when registering the MiauMall account (or supplementing and updating the account information). The user hereby promises that the user will register as a user of MiauMall under his/her true identity, ensures that the personal identity information provided is true, complete and effective, and bears corresponding legal liabilities for the information provided in accordance with legal provisions and necessary terms. If there is any change in personal data, it must be updated in a timely manner. All consequences caused by inaccurate and untrue personal information provided by the user shall be borne by the user, and MiauMall reserves the right to terminate the user's use of various services of MiauMall.

2.2 If the user's real name, mailing address, contact number, e-mail, and other private information is involved in browsing, ordering, and shopping activities on the MiauMall platform, MiauMall will keep it strictly confidential. Unless authorized by the user or otherwise stipulated by law, MiauMall will not disclose the user's private information to the outside world.

2.3 The user shall not transfer or lend his/her account and password to others in any form beyond the control of the user. If users find that their account is illegally used by others, they should immediately notify MiauMall. MiauMall will not bear any responsibility for the illegal use of a user account or password by others as a result of hacking or user's negligence.

Article 3: Product Information

The product price, quantity, availability, and other commodity information on the MiauMall platform may change at any time. Therefore, you should pay close attention to the product information and check it yourself without relying on special notice from this platform. Although MiauMall will try its best to ensure the accuracy of the product information you browse, the information displayed on MiauMall may have a certain lag or deviation due to the huge amount of product information on MiauMall and well-known objective reasons such as Internet or technological factors. We hope you can understand this situation.

Article 4: Orders

4.1 When you place an order, please carefully confirm the name, price, quantity, model, specification, size, contact address, telephone, consignee and other information of the purchased goods. If the consignee is inconsistent with the user himself/herself, the behavior and intention of the consignee shall be regarded as the behavior and intention of the user, and the user shall be jointly and severally liable for the legal consequences of the behavior and intention of the consignee.

4.2 Unless otherwise stipulated by law, both parties agree as follows: the product, price and other information displayed on the MiauMall platform are only the release of transaction information. When you place an order, you must fill in the quantity, price, payment method, consignee, contact information, shipping address, and other contents of the commodity you want to buy. The order information generated by the system is comprised of data automatically generated by the computer information system according to the content you fill in, which is only the transaction request you sent to MiauMall. After MiauMall receives your order information and the goods requested in your order are actually shipped from the warehouse (marked by goods leaving the warehouse) can it be deemed that there is a transactional relationship between you and MiauMall. You can log in to your account registered in the Mall at any time to check or make queries about your order status.

4.3 Due to the influence of market changes and various factors that are difficult to control with reasonable commercial efforts, the mall cannot guarantee that the goods you want to buy in the order information you submit will be available. If the goods you intend to buy are out of stock, both parties have the right to cancel the order.

Article 5: Distribution

5.1 MiauMall will deliver your products (goods) to the receiving address specified by you. All the delivery times listed on MiauMall are for reference. The calculation of the reference time is estimated based on the inventory status, normal processing time, delivery time and delivery location.

5.2 MiauMall shall not be liable for the delay of delivery due to the following circumstances:
(1) The information provided by the user is wrong and the address is not detailed;
(2) No one signs for the delivery of goods, resulting in failure or delay in delivery;
(3) Caused by force majeure factors, such as natural disasters, sudden wars, etc.
(4) Other orders are delayed or cannot be delivered due to reasons outside of MiauMall.

Article 6: Ownership and Intellectual Property Rights

6.1 Miau Co., Ltd is the producer of MiauMall. We own the copyright and other legal rights of the contents and resources of MiauMall which is protected by law. We have the right to modify this Agreement and the contents of MiauMall from time to time and post them on MiauMall without further notice to the user. To the maximum extent permitted by law, MiauMall has the right to interpret this Agreement and the contents of MiauMall.

6.2 Unless otherwise provided by law, without the explicit and special written permission of MiauMall, no one shall illegally copy, reprint, quote, link, capture or otherwise use the information content of MiauMall in whole or in part in any way, otherwise, MiauMall has the right to pursue its legal responsibility.

6.3 The intellectual property rights of the materials and information published on the MiauMall platform (such as text, charts, logos, button icons, images, sound files, digital downloads, data editing and software) belong to MiauMall or its content provider.

Article 7: Limitation of Liability and Non-commitment Guarantee

Unless otherwise specified in writing, all information, contents, materials, products (including software), and services provided to you by MiauMall are provided on the basis of current and existing situations. If the online transaction cannot be completed or relevant information and records are lost due to the collapse or failure of the sales system of the MiauMall platform due to force majeure or other reasons beyond the control of MiauMall, MiauMall will reasonably try its best to assist in dealing with the aftermath.
MiauMall will not bear any responsibility for the theft of your account and password due to personal reasons (including but not limited to the loss of ID card, bank card, credit card, mobile phone, etc.), resulting in others' malicious operation of your MiauMall account, and ultimately resulting in the loss of your financial and user information.

Article 8: Agreement Renewal and User Care Obligations

According to the changes of relevant national laws and the operation needs of the shop, MiauMall has the right to modify the terms of this Agreement from time to time. Once the modified Agreement is posted on MiauMall, it will take effect immediately and replace the original Agreement. Users can log in at any time to check the latest Agreement. Users are obliged to pay attention to and read the latest version of the Agreement and the MiauMall announcement of the latest version from time to time. If the user disagrees with the updated Agreement, s/he can and should immediately stop accepting the services provided by MiauMall. If users continue to use the services provided by MiauMall, they shall be deemed to have agreed to the updated Agreement. MiauMall recommends that you read this Agreement and any announcements of said Agreement before using MiauMall.

Article 9: Jurisdiction and Application of Law

The conclusion, execution, and interpretation of this Agreement and the settlement of disputes shall be governed by the effective laws applicable in the host country. In case of any conflict between this Agreement and applicable laws, these terms will be reinterpreted in full accordance with the provisions of the law, and other effective terms will continue to be valid. In case of any dispute between the parties on the contents of this Agreement or its implementation, both parties shall try their best to settle it through friendly negotiation. If the negotiation fails, either party can bring a lawsuit to the court with jurisdiction.
